1. Parties & acceptance
These Terms of Service ("Terms") are entered into between MAP Food Safety Solutions ("MAP", "we", "us", "our") and you, the natural or juristic person accessing or using the MAP Food Nexus platform, websites, APIs, applications and related services (collectively, the "Services"). By ticking the acceptance box, creating an account, or otherwise using the Services, you confirm that you have read, understood and agree to be bound by these Terms, our Privacy Policy, and our Acceptable Use Policy.
If you accept these Terms on behalf of a company or other legal entity, you warrant that you have authority to bind that entity.
2. Eligibility
You must be at least 18 years old (or the age of majority in your jurisdiction) and legally able to enter into a contract. The Services are not directed at minors and we do not knowingly collect personal information from children.
3. Accounts
- You are responsible for keeping your credentials confidential.
- You must provide accurate information and update it when it changes.
- You are responsible for all activity that occurs under your account. Notify us immediately at support@mapfoodsafetysolutions.co.za of any unauthorised use.
4. Services
The Services include the Nexus Marketplace, Sourcing Hub, Sentinel intelligence feeds, Digital SaaS engine, Legal Registry, and consultation bookings. Specific modules may have additional terms published in-product; where those conflict with these Terms, the in-product terms govern that module.
We may update, suspend or discontinue features at our discretion. We will give reasonable notice of material changes that adversely affect paying customers.
5. Fees & billing
Some Services are free; others require payment of recurring or once-off fees disclosed at the point of purchase. All fees are inclusive of South African VAT where applicable. Payment is processed by our payment partner; by purchasing, you also agree to that partner's terms. Refunds are governed by our Refund & Cancellation Policy.
6. Intellectual property
All software, text, graphics, trademarks, logos and data made available through the Services are owned by MAP or its licensors and are protected by South African and international copyright, trademark, patent and other laws. We grant you a limited, non-exclusive, non-transferable, revocable licence to use the Services for their intended purpose. You retain ownership of content you submit but grant MAP a worldwide, royalty-free licence to host, process and display it as required to operate the Services.
7. Acceptable use
You agree to comply with our Acceptable Use Policy, which forms part of these Terms. Breach may result in suspension or termination without refund.
8. Disclaimers
Except as required by the Consumer Protection Act 68 of 2008 ("CPA") and other applicable South African law, the Services are provided "as is" and "as available". MAP does not warrant that the Services will be uninterrupted, error-free, or fit for any particular purpose beyond what is described in our published documentation. Information provided through Sentinel and other intelligence feeds is sourced from third parties and is provided for situational awareness only — it is not a substitute for independent verification or professional advice.
9. Limitation of liability
To the maximum extent permitted by law (and subject always to the non-excludable rights afforded to "consumers" under the CPA), MAP's aggregate liability arising out of or in connection with the Services in any twelve-month period shall not exceed the greater of (a) the fees paid by you to MAP in that period, or (b) ZAR 5,000. Nothing in these Terms limits liability for fraud, wilful misconduct, or any liability that cannot be limited under South African law.
10. Indemnity
You agree to indemnify and hold MAP harmless against any third-party claims, losses, costs and reasonable legal fees arising from your breach of these Terms, your misuse of the Services, or your infringement of any third-party rights.
11. Suspension & termination
We may suspend or terminate your account immediately if you breach these Terms, fail to pay any fee when due, or create risk for the platform or other users. You may close your account at any time from your account settings or by emailing us. On termination, your right to use the Services ends, but provisions that by their nature should survive (IP, liability, indemnity, governing law) will survive.
12. Governing law & disputes
These Terms are governed by the laws of the Republic of South Africa. The parties will attempt to resolve any dispute in good faith. Failing resolution within 30 days, the dispute will be referred to arbitration administered by the Arbitration Foundation of Southern Africa (AFSA) in Cape Town, in English, before a single arbitrator. Either party may seek urgent or interim relief from the Western Cape Division of the High Court of South Africa. Nothing in this clause limits your rights under the CPA to approach the National Consumer Commission or a consumer court.
13. General
- Changes. We may update these Terms; the version and effective date appear at the top. Material changes will be notified in-app and require re-acceptance.
- Severability. If any provision is held invalid, the remaining provisions remain in force.
- No waiver. Failure to enforce a right is not a waiver of it.
- Entire agreement. These Terms (with the policies referenced) constitute the entire agreement between you and MAP regarding the Services.
